Practical commentary

1. S24 (online registration):

  • Pros: The fastest and cheapest option, no notary fees,
  • Cons: the articles of association are concluded according to a template—there is limited scope for individualization of provisions.
  • Recommended when time is of the essence, with a simple share structure and articles of association.

2. Traditional registration (notary):

  • Pros: Allows for flexible contract terms,
  • Cons: expensive and more time-consuming
  • Recommended for more complex share structures or non-standard provisions.

3. Next steps after registration:

After registration in the National Court Register, the company automatically receives a REGON (National Business Registry Number) and NIP (Tax Identification Number). It is also important to remember to register for VAT (if applicable) and ZUS (Social Insurance Institution).
